Terms of sale

General Terms of Sale

These terms govern every sale of Panisfero S.r.l. bakery products to professional customers. They apply to all orders, even when not expressly referenced, and prevail over any general terms of the customer, which are deemed not accepted unless agreed in writing.

Last updated: 15 October 2026

1. Scope

These terms apply to the sale of bakery products by Panisfero S.r.l., registered office at Via Melchiorre Gioia 177, 20125 Milan (MI), Italy, operating site at Via Magenta 2, 48125 Savio di Ravenna (RA), VAT no. IT14317840966 ("Panisfero"), to customers acting in the course of their business: restaurants, pizzerias, pubs, hotels, workshops, distributors and resellers ("the Customer"). They do not apply to sales to consumers. The Customer accepts these terms by placing an order; any deviation is valid only if agreed in writing.

2. Orders and confirmation

Orders may be placed by email, telephone, WhatsApp Business or through the channels indicated by Panisfero. An order binds Panisfero only upon written confirmation or delivery of the goods. Panisfero may refuse or reduce an order in case of unavailability of raw materials, production capacity limits or irregularities in previous payments, informing the Customer. Samples are supplied on the terms agreed at first contact and do not constitute a commitment to purchase.

3. Prices

Prices are those of the price list or offer in force at the time of the order, in euro, exclusive of VAT and, unless otherwise agreed, ex works Panisfero's operating site. Panisfero may update the price list with at least 30 days' written notice; orders already confirmed remain at the agreed prices. Written offers are valid for the period stated therein or, failing that, 30 days.

4. Payment

Payment is due in the manner and within the terms stated on the invoice or in the commercial agreement. In case of late payment, interest accrues automatically, without notice of default, at the rate provided by Italian Legislative Decree 231/2002 (implementing Directive 2011/7/EU), together with recovery costs. Panisfero may suspend deliveries in progress and make further deliveries conditional on advance payment until the Customer's position is settled. Any dispute on an invoice must be notified within 8 days of receipt and does not suspend payment of the undisputed part.

5. Delivery and transport

Delivery times are indicative and run from order confirmation; a delay does not entitle the Customer to compensation or cancellation unless it exceeds 15 working days from the agreed date and the Customer has sent a written reminder. Unless otherwise agreed, the goods travel at the Customer's risk from the moment they are handed to the carrier; transport costs are charged according to the commercial agreement. The Customer must ensure receipt at the agreed times: an unjustified absence or refusal results in the charging of transport and redelivery costs.

6. Storage and shelf life

Panisfero products are par-baked and packaged to be stored at room temperature, away from light and heat sources, for the period stated on the packaging (up to 50 days from production), with no cold chain. After delivery the Customer is responsible for correct storage, stock rotation and compliance with the expiry date. The warranty lapses for products stored, handled or regenerated in a manner not consistent with the instructions on the packaging or in the technical sheets. Allergen information is provided on the label and in the technical sheets: the Customer must communicate it to its own consumers in accordance with applicable law.

7. Inspection and claims

On receipt the Customer must check quantities, packaging integrity and conformity with the order, noting any anomaly on the transport document. Apparent defects must be notified in writing within 8 days of delivery, hidden defects within 8 days of discovery and in any case before the product's expiry date (Article 1495 of the Italian Civil Code). The claim must state batch, quantity and nature of the defect, with photographs. If the claim is founded, Panisfero will replace the goods or issue a credit note, at its option; no further compensation is due. Returns are accepted only if authorised in writing by Panisfero.

8. Retention of title

The goods remain the property of Panisfero until full payment of the price (Article 1523 of the Italian Civil Code), without prejudice to the Customer's right to use and resell them in the ordinary course of business. In case of non-payment Panisfero may demand the return of the goods still in the Customer's possession, without prejudice to damages.

9. Force majeure

Panisfero is not liable for delays or failed deliveries due to events beyond its reasonable control: unavailability or extraordinary price increases of raw materials, plant breakdowns, strikes, interruptions of energy or transport, measures of public authorities, epidemics, natural events. In such cases delivery terms are extended for the duration of the impediment; if it exceeds 60 days either party may cancel the orders not yet performed, without further claims.

10. Liability

Panisfero's liability for each supply is limited to the value of the disputed goods and does not include indirect damages, loss of profit or loss of custom, except in cases of wilful misconduct or gross negligence and as mandatorily provided by law, including liability for defective products. Panisfero is responsible for the compliance of the products with food law at the time of delivery; the Customer is responsible for their correct use, storage and serving.

11. Personal data and confidentiality

The data of the Customer and its contact persons are processed by Panisfero for the performance of the commercial relationship and for legal obligations, as described in the privacy policy published on this website. Price lists, offers, technical sheets and commercial information exchanged are confidential and may not be disclosed to third parties without written consent.

12. Governing law and jurisdiction

These terms and every sales contract are governed by Italian law. Any dispute is subject to the exclusive jurisdiction of the Court of Milan, without prejudice to Panisfero's right to bring proceedings before the Customer's court. For foreign customers, the 1980 Vienna Convention on Contracts for the International Sale of Goods is excluded.

13. Amendments and validity

Panisfero may update these terms by publishing the new version on this page; the version in force is the one published at the time of the order. The invalidity of any clause does not affect the others. These terms are referenced on every invoice and available at www.panisfero.com/terms-and-conditions. For any questions: info@panisfero.com.
